Our Deliverables

Upon full payment, you will receive full ownership rights to the deliverables we create specifically for your project.

We retain rights to our proprietary tools, methodologies, and any reusable components developed during the project.

5. Payment Terms

Payment Structure

  • Deposit required to begin project work (typically 30-50%)
  • Milestone-based payments for ongoing projects
  • Final payment due upon project completion and delivery
  • All payments are non-refundable once work has commenced

Late Payments

Late payments may result in project delays, additional fees, or suspension of services. We reserve the right to use third-party collection agencies for overdue accounts.

6. Project Timeline and Delivery

While we strive to meet agreed-upon timelines, software development projects are complex and timelines are estimates based on the information available at project initiation.

7. Limitation of Liability

Important Limitation: Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data
  • Business interruption or loss
  • Third-party claims or disputes
  • Any damages arising from your use of our services

8. Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

Either party may terminate this agreement:

  • By Written Notice: With reasonable notice period for ongoing projects
  • For Material Breach: If either party fails to perform their obligations
  • Upon Project Completion: Natural termination when all deliverables are provided

10. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in San Francisco County, California.
